The Board of Directors of Leonardo, meeting on 26 September 2019, approved - instead of the Shareholders' Meeting pursuant to art. 2505, paragraph 2 of the Civil Code and of art. 24 of the Articles of Association - the merger by incorporation into the Società di Sistemi Dinamici SpA
The transaction (already disclosed to the market by the previous 27 June 2019 press release) was also approved today by the extraordinary Meeting of Dynamic Systems. Once the terms of the law have expired, the relative merger deed will then be stipulated, which will take effect - also for accounting and tax purposes - with effect from the 1 January 2020.
It is recalled that the company being merged is directly and wholly controlled by Leonardo and that the merger, which is part of the overall One Company project for the strategic / corporate rationalization of some assets falling within the core business A, D & S, represents the completion of the integration process started in 2016 with the acquisition by Leonardo of the entire capital of Sistemi Dinamici.
