With reference to the termination of the office of Chief Executive Officer of Dr. Alessandro Profumo, which ends after two consecutive terms, from 16 May 2017 until 9 May 2023, Leonardo announces the following.
The Company's Board of Directors, in the meeting held on 9 May 2023, verified that no indemnity or other benefits related to the termination of office are envisaged for Mr. Alessandro Profumo, as the relationship ended at the expiry of the mandate.
In line with the Company Policies and in line with what has already been reported in the Remuneration Report approved by the Company's Shareholders' Meeting, Mr. Alessandro Profumo is only expected to retain the rights connected to the current short and long-term incentive systems already assigned , pro-rata temporis, on the basis of the achievement of the related performance objectives and the subsequent final balance.
Finally, it should be noted that there is no non-competition restriction subsequent to the termination of the office and, therefore, no consideration will be due for this reason.
With reference to the regulations on Transactions with Related Parties, since - as highlighted above - these are provisions compliant with the remuneration policy adopted by the Company, the transaction benefits from the exemption from the application of the procedural regulations pursuant to art. 13, paragraph 3 lett. b) of the Consob Regulation and of the art. 11.2, lett. b) of the Procedure adopted by Leonardo.
